1. Ownership & Intellectual Property

ChurnShield is a proprietary product and the exclusive intellectual property of Business Edge Analytics LLC. All rights, title, and interest in and to ChurnShield, including but not limited to:

• The software, source code, algorithms, and underlying technology
• The user interface, design, and visual elements
• All documentation, marketing materials, and related content
• The ChurnShield name, logo, and branding

are owned solely by Business Edge Analytics LLC. No license, right, or interest in any trademark, trade name, or service mark of Business Edge Analytics LLC is granted hereunder.

2. Acceptance of Terms

2.1 Agreement to Terms

By downloading, installing, accessing, or using ChurnShield—whether through a free trial, paid subscription, or any other means—you agree to be bound by these Terms of Use & Disclaimer in their entirety. Your continued use of ChurnShield constitutes ongoing acceptance of these terms, including any updates or modifications made from time to time.

2.2 Authority to Bind

If you are using ChurnShield on behalf of a business, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms, and the term "User" shall refer to such entity.

2.3 Updates to Terms

Business Edge Analytics LLC reserves the right to modify these terms at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Your continued use of ChurnShield after any such changes constitutes your acceptance of the new terms.

3. Software Disclaimer & Limitation of Liability

3.1 No Guarantee of Accuracy

ChurnShield is a predictive analytics and decision-support tool designed to assist businesses in identifying customers who may be at risk of churning. ChurnShield uses statistical models and user-supplied data to generate predictions, recommendations, and insights. ChurnShield cannot and does not guarantee the accuracy, completeness, or reliability of its predictions, analyses, or recommendations. No software, algorithm, or analytical tool is capable of predicting customer behavior with absolute certainty. Results may vary based on the quality, completeness, and accuracy of the data provided by the User.

3.2 Informational & Decision-Support Tool Only

The churn predictions, risk scores, discount recommendations, revenue projections, and all other outputs provided by ChurnShield are intended solely as informational and decision-support tools. They are not guarantees of future customer behavior, business outcomes, or financial results. ChurnShield's outputs do not constitute business, financial, legal, or professional advice and should not be solely relied upon for making business decisions.

3.3 User Responsibility & Due Diligence

All decisions made by the User based on ChurnShield's analysis, predictions, recommendations, or outputs are made at the User's sole discretion and risk. The User acknowledges and agrees that:

• All business decisions regarding customer retention, discounts, pricing, and any other operational matters are ultimately and solely the User's responsibility
• The User must exercise independent professional judgment, due diligence, and careful consideration when acting on any information provided by ChurnShield
• ChurnShield is one of many tools that may inform business strategy and should be used in conjunction with the User's own expertise, knowledge, and other resources
• The User is solely responsible for evaluating the appropriateness and applicability of ChurnShield's outputs to their specific business circumstances
• The User bears full responsibility for any actions taken or not taken based on ChurnShield's recommendations

3.4 Maximum Liability Cap

In no event shall the total aggregate liability of Business Edge Analytics LLC and the Company Parties for all claims arising out of or related to ChurnShield exceed the total amount of fees actually paid by the User to Business Edge Analytics LLC in the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory.

3.5 No Warranty

CHURNSHIELD IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. BUSINESS EDGE ANALYTICS LLC DOES NOT WARRANT THAT CHURNSHIELD WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

4. Indemnification

You agree to indemnify, defend, and hold harmless Business Edge Analytics LLC, its owner(s), officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of ChurnShield
• Any decisions you make based on ChurnShield's outputs, predictions, or recommendations
• Any violation of these Terms of Use by you
• Any infringement or violation of the rights of any third party by you
• Any data you input into ChurnShield, including customer data or transaction data

This indemnification obligation shall survive the termination or expiration of your use of ChurnShield.

5. Assumption of Risk

By using ChurnShield, you expressly acknowledge and agree that:

• You assume all risks associated with the use of ChurnShield and the application of its outputs to your business operations
• You voluntarily waive any and all claims against Business Edge Analytics LLC and the Company Parties for any adverse business outcomes, financial losses, or damages resulting from your use of ChurnShield
• You have made your own independent assessment of ChurnShield's suitability for your business needs prior to use

6. Data & Privacy

6.1 Local Data Processing

ChurnShield is a locally installed application that runs entirely on the User's own computer. ChurnShield does not upload, transmit, or store any customer data, transaction data, or other business data provided by the User on any external server or cloud infrastructure. All customer data uploaded by the User is processed and stored locally on the User's device only.

6.2 Data Collected by ChurnShield

The only data collected or transmitted by ChurnShield is:

• User authentication data — used solely to validate the User's account and subscription status
• Software update information — used solely to deliver product updates to the User's installation

ChurnShield does not access, collect, or transmit any customer data, transaction records, or other business information uploaded by the User.

6.3 User Responsibility for Data Security

Because ChurnShield operates locally on the User's computer, the User is solely and entirely responsible for:

• The safe handling, storage, and protection of any customer data or business data they upload to or process through ChurnShield
• Ensuring that their computer and local environment are adequately secured against unauthorized access
• Securely logging out of ChurnShield when not in use to prevent unauthorized access to their account and any locally stored data
• Compliance with all applicable privacy laws and data protection regulations regarding the customer data they upload and process
• Maintaining appropriate backups of their data

7. Feedback & Contributions

7.1 Assignment of Rights

Any and all feedback, suggestions, feature requests, bug reports, ideas, improvements, or other contributions ("Contributions") you provide regarding ChurnShield shall become the sole and exclusive property of Business Edge Analytics LLC. You hereby assign, transfer, and convey all rights, title, and interest in and to such Contributions to Business Edge Analytics LLC without any obligation of compensation, attribution, or acknowledgment.

7.2 Enhancement Ownership

All enhancements, modifications, derivative works, improvements, and updates made to ChurnShield—whether inspired by User Contributions or developed independently—are and shall remain the exclusive property of Business Edge Analytics LLC.

8. Governing Law & Dispute Resolution

8.1 Governing Law

These Terms of Use & Disclaimer shall be governed by and construed in accordance with the laws of the state in which Business Edge Analytics LLC is organized, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these terms, ChurnShield, or your use thereof, shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Business Edge Analytics LLC maintains its principal place of business. The arbitrator's decision shall be final and binding. Each party shall bear its own costs and expenses of arbitration.

8.3 Waiver of Class Action

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Business Edge Analytics LLC.

9. Severability

If any provision of these Terms of Use & Disclaimer is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

10. Entire Agreement

These Terms of Use & Disclaimer, together with any additional terms referenced herein, constitute the entire agreement between you and Business Edge Analytics LLC with respect to your use of ChurnShield, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
